Terms of Service
Effective Date: April 4, 2026
These Terms of Service ("Terms") govern your use of the Venum API and related services ("Service") operated by Venum ("we", "us", "our") at venum.dev.
By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Service Description
Venum provides a Solana execution infrastructure API, including:
- DEX swap quoting and instruction building across multiple protocols
- Transaction submission via Jito bundles and RPC
- Real-time pool state and price feed access
- SDK and MCP server tools
2. Accounts & API Keys
- You must provide accurate information when creating an account
- You are responsible for safeguarding your API key — treat it as a secret credential
- You are responsible for all activity under your API key
- We may suspend or revoke keys that violate these Terms or exhibit abusive behavior
- One account per person or entity unless otherwise agreed
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to bypass rate limits, authentication, or access controls
- Reverse-engineer, decompile, or extract source code from the hosted API (the SDK is open-source and governed by its own license)
- Use the Service to attack, exploit, or harm other users or the Solana network
- Resell API access without our written permission
- Submit transactions designed to sandwich, front-run, or otherwise exploit other users' pending transactions through our infrastructure
- Exceed your tier's usage limits through key sharing or other workarounds
4. Pricing & Payment
- Free tier is subject to rate limits as described in our documentation
- Paid tiers are billed monthly via Stripe (credit card) or Coinflow (USDC/crypto)
- Prices are listed at app.venum.dev and may change with 30 days notice
- Refunds are issued at our discretion for service outages exceeding our SLA
- Failure to pay may result in downgrade to the free tier or account suspension
5. Blockchain Risks
You acknowledge that:
- Solana transactions are irreversible once confirmed on-chain
- Transaction submission does not guarantee inclusion — validators and block engines determine final ordering
- Cryptocurrency values are volatile and you may lose funds
- Smart contract interactions carry inherent risk — we build transaction instructions, but you sign and authorize them
- We are not responsible for losses from failed transactions, slippage, MEV, smart contract bugs, or network outages
- Jito bundle submission provides MEV protection on a best-effort basis
6. No Financial Advice
Venum is infrastructure software. Nothing we provide constitutes financial, investment, or trading advice. You are solely responsible for your trading decisions and their outcomes.
7. Service Availability
- We aim for high availability but do not guarantee 100% uptime
- We may perform maintenance with reasonable notice when possible
- We may modify, suspend, or discontinue features with notice
- Force majeure events (network outages, Solana downtime, regulatory changes) are not service failures
8. Intellectual Property
- The Venum API, documentation, and hosted infrastructure are our property
- The Venum SDK (
@venum/sdk,@venum/tx) is open-source under its published license - You retain ownership of your applications and any transactions you create
- "Venum" and our logo are our trademarks — do not use them to imply endorsement without permission
9. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "AS IS" without warranties of any kind, express or implied
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- Our total liability is limited to the amount you paid us in the 12 months preceding the claim
- We are not responsible for losses from on-chain transactions, including but not limited to failed swaps, slippage, liquidations, or MEV extraction
10. Indemnification
You agree to indemnify and hold us harmless from claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
11. Termination
- You may stop using the Service at any time
- We may suspend or terminate your access for violation of these Terms, with notice when practicable
- Upon termination, your API keys are revoked and access ceases
- Sections 5, 6, 9, 10, and 12 survive termination
12. Governing Law & Disputes
- These Terms are governed by the laws of the State of Delaware, USA
- Disputes will be resolved through binding arbitration under AAA rules
- Class action waiver: disputes must be brought individually, not as part of a class action
- Small claims court is available as an alternative to arbitration
13. Changes
We may update these Terms. Material changes take effect 30 days after notice via email or our website. Continued use after the effective date constitutes acceptance.
